Acceptable Use Policy
Version 1.0.0 · Effective October 21, 2026 · Identifier aup/v1.0.0
Signed before October 21, 2026? Agreements entered into before that date that reference the Audian Acceptable Use Policy remain governed by the version in effect for them, available here, unless the customer has agreed to the current documents.
This Acceptable Use Policy (“AUP”) applies to all use of Audian’s Services by customers, their users, and anyone they permit to use the Services. It is incorporated into the Audian Master Terms of Service. Capitalized terms not defined here have the meanings given in the Master Terms. Sections 3–6 apply only to the corresponding service lines. You are responsible for ensuring that everyone you permit to use the Services complies with this AUP.
1. General Prohibited Conduct
You may not use the Services to, or in a manner that:
- violates any applicable local, state, federal, or international law, order, or regulation, or encourages conduct that would constitute a criminal offense;
- infringes, misappropriates, or violates the intellectual property or other rights of any person;
- is obscene, threatening, harassing, defamatory, libelous, deceptive, fraudulent, malicious, tortious, or invasive of another’s privacy;
- impersonates any person or entity, falsifies sender or origin information (including caller ID spoofing, forged headers, or sender-address falsification, e.g., “phishing”), or misrepresents your affiliation with any person or entity;
- involves subscription fraud or unauthorized access to or use of the Services;
- transmits material containing viruses, worms, trojan horses, ransomware, spyware, time bombs, or other harmful programs, whether negligently or intentionally;
- harvests or collects information about others, including email addresses or identifiers, without their consent;
- conducts or promotes pyramid or other illegal schemes; or
- stores, transmits, accesses, distributes, promotes, or facilitates any content involving child sexual abuse, exploitation, grooming, trafficking, or other unlawful conduct involving minors. Audian may remove or disable access to such content, immediately suspend affected Services, preserve relevant information, and report suspected violations to the National Center for Missing and Exploited Children (NCMEC), law enforcement, or other appropriate governmental authorities.
2. Network and System Integrity
You may not:
- access any other person’s computer, system, network, software, or data without authorization; breach or attempt to circumvent the authentication or security of any host, network, or account; or probe the security of any system without express permission;
- use or distribute tools designed for compromising security (password crackers, keystroke loggers, packet sniffers used unlawfully, exploitation tools), or conduct unauthorized port scanning;
- interfere with, disrupt, or degrade the Services or any Audian (or Audian supplier) host, server, network, or facility, or any other user’s use of the Services — including denial-of-service attacks, flooding, overloading, or “crashing” hosts;
- attempt to access, alter, or interfere with another user’s or customer’s communications or information;
- employ methods or devices designed to take advantage of, bypass, exploit, or otherwise avoid this AUP;
- resell, transfer, or charge for the Services without Audian’s advance express written permission (resale arrangements require a written agreement with Audian).
3. Voice and Messaging Services
In addition to Sections 1 and 2, for Voice Services:
- No unlawful calling or messaging. You must comply with all laws governing calling and messaging, including the TCPA (47 U.S.C. § 227) and FCC implementing rules, the FTC Telemarketing Sales Rule, CAN-SPAM, federal and state Do-Not-Call and calling-time laws, and, for Canadian traffic, the CRTC’s Unsolicited Telecommunications Rules.
- No unsolicited or non-compliant messaging. Audian’s SMS Services support application-to-person (A2P) campaign messaging. Access requires brand and campaign registration through Audian’s registration portal and carrier approval; supported campaign categories include two-factor authentication, account notifications, customer care, delivery notifications, fraud and security alerts, appointment and service reminders, polling and voting, public service announcements, and opt-in marketing. Customer may send SMS or MMS messages only in compliance with applicable law, carrier rules, CTIA standards, campaign-registration requirements, and all consent requirements. Unsolicited, deceptive, fraudulent, or non-compliant messaging is prohibited, as is messaging any recipient who has not given required consent or who has opted out. Junk or unsolicited bulk email, voicemail, or fax remains prohibited.
- No caller-ID spoofing or any attempt to mislead others as to the identity of the sender or origin of a communication.
- Usage limits. Use exceeding normal business use of hosted voice lines or SIP trunks (as described in the Voice & Telecom Schedule) violates this AUP.
- Recording compliance. You are solely responsible for lawful use of recording features, including all-party-consent requirements where applicable.
4. Managed IT Services
In addition to Sections 1 and 2, for Managed IT Services: you may not install or direct the installation of unlicensed software; you may not use Audian-provided monitoring, management, or security tooling for any purpose other than its intended use in your environment; you may not input, connect, or expose data from Audian-managed systems to Unmanaged AI Tools in violation of security policies Audian communicates to you (your responsibility for Unmanaged AI Tools is set out in Master Terms Section 10); and you may not direct Audian personnel to take actions that would violate law or this AUP.
5. Internet and Managed Network Services
In addition to Sections 1 and 2, for Internet Services and use of Audian-managed networks:
- You may not operate public-facing servers or services where your service plan does not permit it; plans permitting hosting or static addressing will say so on the Service Order.
- You may not resell or make the service available to persons outside your premises or organization except as your Service Order or a written agreement with Audian permits (for example, guest Wi-Fi or resident services at a managed property).
- You may not restrict, inhibit, or interfere with any other user’s use of the network, or cause performance degradation to the network or any Audian (or supplier) facility, except for ordinary safety and security functions (such as parental controls).
- You may not connect equipment to an Audian-managed network in a manner that violates the network design or security policies communicated to you (for example, rogue access points or unauthorized DHCP servers).
- On multi-tenant managed networks, end users must comply with this AUP; Audian may suspend service to an end user whose use threatens the network or other users.
6. Camera and Surveillance Services
In addition to Sections 1 and 2, for Camera and Physical Security Services:
- Consent and notice. You may not record audio or video except in compliance with applicable law, including posting any required notices and obtaining any required consent. You may not enable audio recording where all-party consent is required without obtaining that consent.
- No unlawful biometric or analytics use. You may not use facial recognition, biometric identification, license-plate recognition, or similar analytics except in compliance with all applicable biometric-identifier and privacy laws.
- No surveillance of private areas. You may not use the Services to record areas where individuals have a reasonable expectation of privacy (such as restrooms or changing areas), or for any unlawful, harassing, or discriminatory purpose.
- Your responsibility for Footage and these features, and Audian’s disclaimer of liability, are set out in the Camera & Physical Security Schedule (Sections 3.2 through 3.6).
7. Audian’s Rights; Enforcement
7.1 All determinations related to violations of this AUP are made by Audian in its reasonable discretion. This AUP’s lists are illustrative, not exhaustive.
7.2 Audian does not routinely monitor individual accounts, transmissions, or content, and has no obligation to do so. However, Audian and its suppliers may monitor bandwidth, usage, transmissions, and content from time to time to operate the Services, identify violations, and protect the network, the Services, and users, and may review the content of communications when investigating suspected violations.
7.3 If you or anyone you permit to use the Services violates this AUP, Audian may, with or without notice as the circumstances reasonably require: warn; remove, block, or filter content or communications; temporarily or permanently suspend the affected Services; terminate Services or the Agreement per the Master Terms; and take any other legal or technical action it deems appropriate. Audian prefers to inform customers of inappropriate activity and provide a reasonable period to take corrective action where the circumstances allow.
7.4 Audian may investigate suspected violations, may suspend involved accounts during investigation, and may cooperate with law enforcement and with system administrators at other providers to enforce this AUP. You authorize that cooperation.
7.5 Audian may revise this AUP as described in the Master Terms; revisions are published with the AUP version history. Continued use after a revision takes effect constitutes acceptance.
8. Copyright; DMCA
8.1 Compliance. You may not store, access, share, or disseminate any material over the Services in a manner that infringes third-party intellectual property rights, including U.S. copyright. Audian complies with the Digital Millennium Copyright Act (“DMCA”).
8.2 Repeat-Infringer Policy. Audian maintains a policy to terminate, in appropriate circumstances, the Services of any customer or user who is a repeat infringer. The policy includes graduated alerts of alleged infringement, acknowledgment of alerts, interim measures, suspension, and, in appropriate circumstances, termination of Services. Audian also reserves the right to terminate Services at any time, with or without notice, for any customer or user Audian reasonably believes is infringing intellectual property rights.
8.3 Notifications of Claimed Infringement. Copyright owners may report alleged infringement by sending Audian’s designated agent a notification satisfying Section 512(c)(3) of the U.S. Copyright Act:
Audian, Inc. Attn: Copyright Infringement Claims Agent 11232 120th Ave NE Ste 206 Kirkland, WA 98033 Phone: 844-611-6110 · Email: legal@audian.com U.S. Copyright Office Designated Agent Registration No. DMCA-1074864
Upon receipt of a satisfactory notice, Audian will respond expeditiously to remove or disable access to the identified material where applicable and will notify the affected customer or user. Anyone who knowingly makes material misrepresentations in a DMCA notice may be liable for resulting damages.
8.4 Counter-Notifications. If you receive a DMCA notification and believe in good faith the material was removed or blocked by mistake or misidentification, you may send a counter-notification satisfying Section 512(g)(3) to the agent above. Audian will provide a copy to the original complainant and follow the DMCA’s procedures. Audian will not be a party to disputes or lawsuits regarding alleged infringement.
